📋 Terms, Payment & Commercial Notes
Payment Terms
Project work: 50% upfront, 50% on delivery. Monthly retainers: invoiced on the 1st, due within 7 days. Annual contracts eligible for 10% discount when paid upfront.
VAT & Taxes
All prices exclude 16% VAT unless stated. VAT-registered clients will receive a VAT invoice (DWS is VAT-registered with KRA). Withholding tax handled per KRA regulations.
Price Validity
Prices valid through 31 December 2026. DWS reserves the right to revise pricing with 30 days' written notice. Existing contracts are honoured at signed rates.
Scope Changes
Change requests on fixed-price projects are scoped and quoted separately. Time-and-materials engagements billed at agreed hourly rates. All changes require written approval.
SLA & Uptime
Standard SLA: 99.5% uptime. Enterprise SLA: 99.9% uptime with financial penalties for breaches. Response times: Critical = 1hr, High = 4hrs, Medium = 8hrs, Low = 24hrs.
